Notice is hereby given of the following Special Resolution, to be voted on at the upcoming Victorian Skateboarding Association Inc. (VSA) Annual General Meeting (AGM) 2024.

MOTION: To update the Victorian Skateboarding Association Inc. constitution, making comprehensive changes to align the document with current industry standards.

INTRODUCTION: In late 2023, the VSA constitutional review subcommittee conducted a comprehensive review of the VSA constitution, originally drafted in 2012. This review aimed to ensure that the document serves its purpose effectively and reflects modern governance standards that meet the expectations of both our members and partners.

The subcommittee concluded that the current constitution contains vague and poorly defined clauses, which may lead to confusion, inconsistent decision-making, and lack of accountability. Such gaps could undermine the efficiency of governance and create potential for conflict.

RATIONALE FOR THE PROPOSED MOTION: A constitution is fundamental for a state sporting association, acting as the core legal document that defines its governance structure, purpose, and operational principles. It ensures clarity around roles, responsibilities, and decision-making processes, thereby promoting transparency and accountability within the leadership and membership. A well-crafted constitution also safeguards the association’s integrity by establishing standards for ethical conduct, dispute resolution, and regulatory compliance. Additionally, it helps secure the association’s long-term sustainability by fostering inclusivity and consistency in how it serves its members, supports the sport, and upholds its values at all levels of operation.

The newly drafted constitution reflects modern standards of sports governance. It has been restructured to enhance transparency, fairness, and legal compliance, ensuring smooth and goal-oriented operations for the Association.

Key updates include, but are not limited to:

  • A revised organisational purpose (as approved and discussed by the Board).
  • The removal of the Executive Director function and the addition of an even governance structure   
  • A minimum term of three years for Interested Directors.
  • The right of Directors to nominate the Chair on a cyclical basis.
  • Provisions to remove Directors for non-attendance at three consecutive meetings.
  • A focus on membership categories and voting rights. (one member one vote)
  • Implementation of grievance procedures and mechanisms.
  • Requirements for external auditors to review financial accounts.
  • Broadening of terminology to encompass skateboarding and skate sports.
  • A new nominations process for Interested Directors.
  • Greater transparency on our decision-making process and Powers of the Board    

A Special Resolution requires 75% support from all members eligible to vote.
